Terms of Service

1. Platform Description
Workmate is a white-label AI receptionist platform operated by EZBiz Services ("we," "us," "our"). Workmate enables resellers to offer AI-powered phone answering, appointment booking, and caller management services to their end-clients under the reseller's own brand.
By creating an account or using the Workmate platform, you ("reseller," "you") agree to these Terms of Service.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into a binding agreement. If you are using Workmate on behalf of a business, you represent that you have authority to bind that business to these terms.
3. Reseller Obligations
As a reseller on the Workmate platform, you agree to:
- Comply with all applicable federal, state, and local laws, including TCPA, CAN-SPAM, and data protection regulations
- Inform your end-clients that their data is processed through the Workmate platform
- Maintain your own terms of service and privacy policy for your end-clients
- Obtain necessary consent from end-clients and their callers for call recording, AI interaction, and SMS messaging
- Not misuse the platform for spam, fraud, harassment, or any unlawful purpose
- Keep your account credentials secure and not share them with unauthorized parties
- Accurately represent the capabilities of the AI receptionist service to your end-clients
4. Subscription Terms
- Subscriptions are billed monthly or annually, depending on the plan selected
- Each plan is differentiated by the number of clients you can manage
- All plans require your own OpenAI API key — AI usage is billed directly by OpenAI
- Plan upgrades take effect immediately; downgrades take effect at the next billing cycle
- You may cancel your subscription at any time with no cancellation fees
- Cancellation takes effect at the end of the current billing period — no prorated refunds are issued for partial months
- We reserve the right to change pricing with 30 days' notice to existing subscribers
5. White-Label Terms
Workmate grants you a non-exclusive, non-transferable license to use the platform under your own brand for the duration of your subscription. This means:
- You may apply your brand name, logo, colors, and custom domain to your Workmate-powered pages and dashboards
- Your end-clients will interact with the platform under your brand
- All underlying technology, AI models, software, and platform intellectual property remain the sole property of EZBiz Services / Workmate
- You may not reverse-engineer, copy, or create derivative works based on the Workmate platform
- You may not sublicense the platform to other resellers without written permission
6. End-Client Relationship
Resellers own the relationship with their end-clients. Workmate provides the infrastructure and technology, but:
- You are solely responsible for pricing, billing, and customer support for your end-clients
- We do not communicate with your end-clients directly unless required for technical support that you request
- You are responsible for onboarding your end-clients and configuring their AI receptionists
- If your subscription is terminated, your end-clients' services will also be discontinued
7. Stripe Connect
Workmate uses Stripe Connect to facilitate payments. By using our platform:
- You agree to Stripe's Connected Account Agreement
- You are responsible for maintaining your Stripe account in good standing
- We are not responsible for Stripe account holds, freezes, or disputes
- Payment processing fees charged by Stripe are your responsibility
8. BYOK (Bring Your Own Key)
If you choose to use the BYOK option with your own OpenAI API key:
- You are responsible for your own OpenAI API costs and compliance with OpenAI's terms
- Your OpenAI API key is required to power the AI receptionist on all plans
- We are not responsible for any issues arising from your OpenAI account or API key
9. Acceptable Use
You may not use the Workmate platform to:
- Make or facilitate robocalls, spam calls, or unsolicited telemarketing
- Send SMS messages without proper consent from recipients
- Engage in fraud, deception, or impersonation
- Harass, threaten, or abuse any individual
- Violate any applicable law or regulation
- Interfere with or disrupt the platform's operation
- Attempt to access other resellers' or clients' data
- Use the platform for any illegal activity
Violation of these terms may result in immediate suspension or termination of your account without refund.
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. The platform depends on third-party services (Twilio, OpenAI, Stripe, Supabase) that may experience their own outages. We are not liable for downtime caused by third-party service interruptions, scheduled maintenance, or circumstances beyond our reasonable control.
11. Limitation of Liability
To the maximum extent permitted by law, EZBiz Services and Workmate shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Lost profits, lost revenue, or lost business opportunities
- Damages arising from AI receptionist errors, miscommunications, or missed calls
- Damages caused by third-party service failures
- Any amount exceeding the fees you paid to us in the 3 months preceding the claim
The AI receptionist is a tool, not a replacement for human judgment. We do not guarantee that the AI will handle every call perfectly or that no calls will be missed.
12. Indemnification
You agree to indemnify and hold harmless EZBiz Services, its officers, and employees from any claims, damages, or expenses arising from your use of the platform, your violation of these terms, or your end-clients' use of the services you provide through Workmate.
13. Termination
- You may cancel your account at any time from your dashboard or by contacting support
- We may suspend or terminate your account for violation of these terms, non-payment, or at our discretion with 30 days' notice
- We may immediately terminate accounts involved in fraud, abuse, or illegal activity
- Upon termination, your access to the platform ceases and all end-client data will be deleted within 30 days
- You may request an export of your data before termination takes effect
14. Dispute Resolution
Any disputes arising from these terms or your use of the platform shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Mississippi.
15. Governing Law
These terms are governed by and construed in accordance with the laws of the State of Mississippi, without regard to its conflict of law provisions.
16. Changes to These Terms
We may update these terms from time to time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the platform after changes take effect constitutes acceptance of the updated terms.
